This End User License Agreement (EULA) governs the use of the application and services currently provided or which will be provided by Nkwazi Technologies.

It sets the basis on which Nkwazi Technologies makes the service available to you. By installing or using this software you agree to accept and to be bound by the EULA and Privacy agreement at all times. Nkwazi Technologies reserves the right to change, modify add or delete articles to this EULA.  

GRANT OF LICENSE

NKWAZI TECHNOLOGIES (or its licensors) grants you a non-exclusive, non-transferable, non-sublicensed, non-commercial and personal license to install and/or use the Product (in whole or in part) and any Product (the “License”), for such time until either you or NKWAZI TECHNOLOGIES terminates this EULA. You must in no event use, nor allow others to use, the Product or this License for commercial purposes without obtaining a license to do so from NKWAZI TECHNOLOGIES. Updates, upgrades, patches and modifications may be necessary in order to be able to continue to use the Product on certain hardware. THIS PRODUCT IS LICENSED TO YOU, NOT SOLD.

INDEMNITY

You are solely responsible for any damage caused to NKWAZI TECHNOLOGIES, its licensors, channel partners and associated service providers and subcontractors, other users of the product or any other individual or legal entity as a result of your violation of this EULA.

TERMINATION

The EULA is effective from the earlier of the date you purchase, download or use the Product, until terminated according to its terms.

RIGHT TO REFUSE SERVICE

We may close, suspend or limit your access to your Account. Without limiting the foregoing, we may close, suspend or limit your access to your Account or not accept your request for registration:

1.   If we determine that you have breached, or are acting in breach of this User Agreement;

2.   if we determine that you have engaged, or are engaging, in fraudulent, or illegal activities as specified by the laws of Zambia;

3.   If you do not respond to account verification requests;

4.   If you do not complete account verification when requested within 1 months of the date of request;

5.   for other reasons which will be communicated

INVENTORY SERVICE PLANS

We have 3 available inventory plans which can be paid for monthly or yearly

1.   The plans will run for a maximum of 30 days from the date they are activated

2.   The yearly plans will have a discount of 2 months, meaning you will only pay for 10 months, when you select a yearly plan (Or a 12 months plan)

3.   Your cancellation of the monthly plan is non refundable

4.   Your cancellation of the yearly plan will result in a cash refund for the remaining months. The month the cancellation order was placed, will not be included in the refund

5.   The plans cannot be transferred to another business or business owner, or shared with other businesses

6.   Under each plan will include the following activities

                                      i.    Barcode printing and labelling of your stock

                                     ii.    Reporting of damaged or missing stock

                                   iii.    Counting of stock in the last week of the month

                                   iv.    Registration of stock into our inventory registration system

                                     v.    Publishing of sales reports for your stock in all your business areas

                                   vi.    Publishing of stock condition reports

7.   The plans will not include equipment of any kind (Be it Computers, Networking devices, scanners or printing machines)

8.   If you have compatible equipment, installation and configuration of the equipment with our POS and inventory application will be done free of charge

9.   During configuration, we will require a business representative in charge of your electronic equipment to be present. Configuration will not be carried out until it is monitored and verified by your business representative

10.       If your business requirements exceed our inventory service plans, you can apply for a custom plan, that will include increased discounts

11.       Barcode reprinting due to erroneous information. An amount (35% of the inventory plan) will be charged if the barcode labelling work has to be redone due to the submission of wrong stock information if the barcode units exceed 1000. This applies only to the active monthly plan

PAYMENTS & SUBSCRIPTIONS

1.   All payments should be made to the official bank account(s) of Nkwazi Technologies which will be provided once you activate a plan

2.   Payments should not be made to any representative of Nkwazi Technologies, be it in cash, mobile money or by means of a bank transfer or any other form of payment

3.   Any amount of money given to our inventory staff without permission from Nkwazi Technologies will not be recognized and cannot be used for dispute resolution due to failure to provide a service

4.   Duplicate payments due to network or application errors. If you make a duplicate electronic payment, immediately notify us within 1 month. Our accounting team will also contact you if you make a duplicate electronic payment. Duplicate payments that are not claimed after one month (After repeated efforts by our accounting team to remind you of your duplicate payments) will result in the forfeiture of 10% of the duplicate payment value

5.   You are immune to price increments on the POS as long as you consecutively renew your subscription plans (Whether monthly or yearly). If you terminate a subscription or your subscription expires, and you wish to renew later, you will have pay the new price

6.   No refunds will be issued if you decide to cancel your subscription. For cancelled yearly subscriptions, a cash refund will be issued for the remaining months. A refund for the active month will not be issued

 

OUR INVENTORY STAFF

Our inventory staff will be on hand to offer training on how to use the POS functionality and the inventory functionality of Tamanga POS

1.   Our Inventory staff will be available every business day (Morning 08:00 To 13:00) and (Afternoon 14:00 To 17:00). On weekends, they’ll be available from 14:00 to 17:00. Custom requests for availability can be made on the hire document. We reserve the right to accept or reject a custom request

2.   They will be not responsible for loading or unloading stock that you have ordered locally or from an international source

3.   While we will do our best to bring in qualified staff, it is suggested that you use all available monitoring tools to secure your stock and submit the current stock numbers before our staff arrive at your business premises

4.   We have the right to terminate this agreement based on reports we receive from our inventory staff, concerning your conduct when dealing with them

5.   Our staff will work with the agreed times specified in the hiring document. Please note that our staff will not exceed the agreed times due to the failure of your business staff to provide access to your stock on the agreed times

6.   Our staff have the right to reject requests that do not fall in the scope of the services we provide

7.   Unless authorized by Nkwazi Technologies, our inventory staff will not be responsible for the transportation of your stock from one business area to another. They will be only responsible for counting, registering and monitoring the state of your stock. If they are authorized, we and they (The Inventory staff) will not be held responsible for any damages that occur when moving the stock

8.   Our inventory staff are not allowed to request for money, or give you additional charges that are not specified in the hire document. You will be required to report any of our staff who request for money or ask you to pay for any charges

9.   Our staff are likely to use surveillance equipment like portable cameras. If you do not allow cameras on your business premises, your right to claim compensation for delayed work, damaged or missing items will be waived or not possible unless you provide your own physical video evidence with time stamps

10.   While our inventory staff are contractors and not employees, we will not be held liable for any loss that occurs if you decide to hire them without notifying us, and even if we are notified, we will not be held liable for any loss that occurs between you and the inventory personnel you agree to hire in your own capacity

SALES AND INVENTORY STATUS REPORTING

1.     Our reporting system will target 100% accuracy. However, due to unforeseen occurrences, some reports will not be 100% accurate, and we advise you to conduct regular (Monthly or weekly) physical checks on your inventory stock and sales to verify the reported figures

2.     Ensure devices that operate offline are connected online later and synchronize with the central web application

3.     The reporting system will deliver information using the email system. Ensure you register the correct email addresses and you configure your emails correctly on your mobile devices

4.     We will not be held liable if the report delivery system fails due to actions by an external institution or individual

5.     Damages caused by the reporting system because of negligence on our side will be paid for using price discounts. No monetary compensation will be offered

6.     Our reporting system is designed to be an advisory system, meaning that you have to use it in combination with physical checks and other forms of advisory services. We will not be held liable for damages caused if you rely on the system as the only source of advisory information

7.     We will require you verify all the reported figures (before you submit them to regulatory or tax authorities) using other accounting tools like banking applications or physical records. This will ensure we improve the system for a better user experience. Please report any inaccuracies

PRODUCTS OR SERVICES NOT ALLOWED

We will not accept registration for the following products or services

1.   Escort services, compensated companionship, or any arrangement regardless of terminology or branding in which money, gifts, financial support, or any other form of consideration is provided, directly or indirectly, in exchange for companionship, intimacy, sexual services, or the reasonable expectation thereof.

2.   Pornographic material or other obscene content

3.   Services linked to terrorist activities

4.   Products that have been classified to cause serious harm or death to humans (eg Cigarettes, Abortion Drugs or Vaping products)

5.   Religious or political regalia

6.   Military equipment or products used for offensive operations (Eg Guns, Bombs)

7.   Human organs, blood or activities related to human trafficking

8.   Selling of animals that are not allowed to be sold by government authorities

9.   Gambling or casino services

DISCLAIMER

1.   We will not be held liable from damage resulting from the misuse of your contact information by third parties

2.   We will not be held liable for damage, loss of information, profits or other critical information as a result of system failures or security threats affecting the services of third party service providers

3.   We strongly encourage you to use your business information and not your private information (Photos, Email addresses, physical addresses and telephone or contact numbers), as we will not be held liable for damage resulting from the misuse of your private or contact information by third parties or other unknown parties

4.   You are responsible for managing your customer’s business or personal information, and more importantly ask for their consent, as we will not be held liable for damages resulting from the misuse of customer’s business or personal information by third parties or any other entity

5.   No amount of compensation will be offered for damages resulting from using the FREE trial version of Tamanga POS

6.   You are required to have additional data backup applications for your business data. We will not be held liable for loss of data on our servers or databases, especially historical data which you would want to access later

THIS EULA IS APPLICABLE ONLY TO THE EXTENT AUTHORISED BY LAW

The Tamanga Point of Sale App allows you to access content in form of figures, quantities and descriptions to facilitate efficient stock management and record keeping.

Before installation of this App, please indicate your consent to our processing of your personal data (including your name, contact details, financial and device information) as described in the privacy policy. We are committed to protecting your personal data and respecting your privacy.

YES, I consent to the installation of the App for the purposes of efficient record keeping and stock management of goods and/or services in one or several stores/branches.

NO, I do not consent to the installation of the App.

How you can withdraw consent

Once you provide consent by selecting "YES", you may withdraw consent at any time by contacting us +260973897320 OR +260776292206. However, this will not affect the lawfulness of any processing carried out before the withdrawal of your consent.

Consent to processing Location Data

YES, I consent to processing of Location Data of store or branches with this technology, disclosed by GPS technology OR GLONASS Technology so that location-enabled Services are activated. We’ll use this information for provision of content.

NO, I do not consent to processing of my Location Data and location-enabled Services are disabled in my settings.

 

SECURITY

You must immediately notify us upon becoming aware of any unauthorized access or any other security breach to the Website, your Account and do everything possible to mitigate the unauthorized access or security breach (including preserving evidence and notifying appropriate authorities).

Your User Account is yours only, and you must not share your password with others. You are solely responsible for securing your password. We will not be liable for any loss or damage arising from unauthorized access of your account resulting from your failure to secure your password.

REFUNDS AND COMPENSATION

1.   No compensation will be offered if the product registration process or the audit process is delayed, due to failure of your business staff to provide access to your business premises on time. Extensions beyond the agreed times will attract extra charges

2.   No compensation will be offered if the product registration process or the audit process is delayed, due to failure of your business staff to provide critical information required within the agreed times

3.   Outages caused by negligence on our side will be compensated for only using price discounts. No monetary compensation will be offered

4.   No cash compensation will be offered for service outages that are caused by natural disasters, theft or network sabotage (or actions caused by cyber criminals)

5.   No monetary compensation will be offered for service outages caused by 3rd parties (Regulators or data center operators in this case ZICTA or Verpex)

6.   Monetary compensation will be offered if it is established your stock has been damaged by our inventory staff (Video evidence with date/time stamps will be required), provided you have documentation (cleared by Zambia Revenue Authority) proving the correct value of the damaged stock

7.   Refunds (95% of the amount) will be issued if your business premises are inaccessible due to natural disasters, terrorist activity or evacuation activities or any other event that is beyond your control. Only if the inventory work has not begun. If the inventory work has already begun, the refund will be based on the progress rate (In percentage) that was made before the disruption
